Terms of Service

Plannerr is software as a service that lets businesses connect their WhatsApp Business number so an AI assistant answers their customers, manages appointments and sends reminders, and manage services, staff and schedule from a web dashboard.

• You must be of legal age and authorized to bind the business you register.
• The information you provide must be accurate and kept up to date.
• You are responsible for keeping your credentials confidential and for all activity under your account, including that of employees you invite.

Current plans, prices and limits are shown on the website or in the dashboard. Free trials last for the stated period and, when they end, the service may be suspended if no plan is purchased. Payments are non-refundable unless applicable law provides otherwise.

Charges Meta applies for WhatsApp conversations or messages are billed directly by Meta to the payment method on the business's WhatsApp Business account and are not included in the Plannerr price unless stated otherwise.

To use the WhatsApp integration, the business:

• Accepts and will comply with the WhatsApp Business Terms of Service, the WhatsApp Business Messaging Policy, the WhatsApp Commerce Policy and any applicable Meta terms.
• Authorizes Plannerr to access and operate its WhatsApp Business account through the WhatsApp Cloud API with the permissions granted during Embedded Signup.
• Will obtain opt-in consent from individuals before sending them business-initiated messages, and will promptly honor opt-out requests.
• Will not send spam, unsolicited bulk messages or content prohibited by Meta policies.
• Owns its WhatsApp Business account, its phone number and its relationship with Meta.

Meta may limit, suspend or change the WhatsApp API or the business's account for its own reasons. Plannerr is not responsible for those decisions or for the availability of Meta services. Plannerr is not affiliated with, sponsored or endorsed by Meta Platforms, Inc. or WhatsApp LLC.

• Have a legal basis to process its end customers’ data through Plannerr and publish its own privacy policy.
• Inform its customers that they may be served by an AI assistant.
• Keep accurate the services, prices, hours and availability the assistant relies on.
• Handle its end customers’ data requests and forward to us those that require our action.

You may not use Plannerr to:

• Engage in illegal activities, fraud, impersonation or deception.
• Send spam or communications without consent.
• Offer products or services prohibited by the WhatsApp Commerce Policy.
• Collect sensitive data, such as health or financial information, without the required authorizations and safeguards.
• Harass, discriminate, or share violent or sexual content or content that infringes third-party rights.
• Attempt to breach the security of the service, reverse engineer it, or resell it without authorization.

Assistant replies are generated by AI models and may be inaccurate, incomplete or unexpected. The business should periodically review conversations and must not rely on the assistant as the sole basis for medical, legal, financial or other decisions that significantly affect a person.

For its end customers’ data, the business is the controller and Plannerr acts as processor, processing it only to provide the service. Processing is described in our Privacy Policy.

Plannerr relies on providers such as Meta, cloud services, authentication and AI models, which are subject to their own terms, availability and policies.

Plannerr, its software, brand, design and documentation belong to their owners. We grant you a limited, non-exclusive, non-transferable license to use the service during your subscription. The business retains ownership of its data and content.

Each party will protect the other's confidential information and use it only for the purposes of this agreement. If a signed contract or NDA exists, it prevails over this text.

You may cancel your account at any time. We may suspend or terminate the service if you breach these terms or Meta policies, if required by law, or to protect users or the service.

Upon cancellation, we stop operating your WhatsApp number and delete your data as described in the Privacy Policy. You can also fully unlink the number from Plannerr in your WhatsApp Business account settings.

The service is provided "as is" and "as available". To the maximum extent permitted by law, Plannerr will not be liable for indirect, incidental, special or consequential damages, loss of revenue or data, unavailability of third-party services (including Meta), or decisions made based on assistant replies.

Our total liability will not exceed the amount paid by the business in the 12 months preceding the event giving rise to it.

We may update these terms. We will post the current version on this page and give reasonable notice of material changes. Continued use of the service constitutes acceptance.

These terms are governed by the laws of Mexico. Any dispute will be submitted to the competent courts of Mexico City, Mexico, unless mandatory law provides otherwise.
